END USER LICENSE AGREEMENT (EULA)
IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE APPLICATION.
This End User License Agreement (hereinafter referred to as the “Agreement”) is a legal agreement between you (either an individual or an entity) and Golf Leaderboard Ltd, a company registered in England and Wales under company number 14223278 whose registered office is 29 Norman Snow Way, Duston, Northamptonshire, NN5 6FH (hereinafter referred to as the “Licensor”) for the use of the software application and associated documentation (collectively referred to as the “Software”). By installing, copying, or using the Software, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms and conditions, do not install or use the Software.
1. Definitions
a. Software: The term “Software” refers to the software applications provided by the Licensor, including all its components, modules, updates, and any accompanying documentation.
b. Licensee: The term “Licensee” refers to the individual or entity that is granted a license by the Licensor to use the Software under the terms of this Agreement.
c. License: The term “License” refers to the right granted by the Licensor to the Licensee to use the Software in accordance with the terms and conditions of this Agreement.
d. Use: The term “Use” refers to the installation, copying, or running of the Software on a device owned or controlled by the Licensee for its intended purpose.
2. Grant of License
Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable license to Use the Software for its intended purpose. The Licensee may install and Use the Software on a single device or multiple devices as specified in the licensing documentation.
3. Restrictions
a. The Licensee shall not distribute, sublicense, rent, lease, loan, sell, modify, reverse engineer, decompile, disassemble, or create derivative works based on the Software, in whole or in part, without the prior written consent of the Licensor.
b. The Licensee shall not remove, alter, or obscure any proprietary notices, labels, or marks on the Software or its documentation.
4. Intellectual Property
The Software and any related intellectual property rights are and shall remain the exclusive property of the Licensor. The Licensee acknowledges and agrees that no ownership or intellectual property rights are transferred under this Agreement.
5. Warranty Disclaimer
The Software is provided “as is” without any warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the Software will meet the Licensee’s requirements or that the operation of the Software will be uninterrupted or error-free.
6. Limitation of Liability
To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, special, incidental, consequential, or punitive damages, including, but not limited to, loss of profits, data, or use, arising out of or in connection with the use or performance of the Software.
7. Termination
This Agreement is effective until terminated. The Licensee may terminate this Agreement at any time by discontinuing the Use of the Software and uninstalling it from all devices. The Licensor may terminate this Agreement if the Licensee breaches any of its terms. Upon termination, the Licensee shall cease all Use of the Software and destroy all copies of the Software and documentation.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any legal action or proceeding arising under or in connection with this Agreement shall be brought exclusively in the courts of England and Wales, and the parties hereby consent to the personal jurisdiction and venue of such courts.
By installing, copying, or using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
